Próspera ZEDE — Honduras' Private Charter City Under Constitutional Challenge

Próspera is a privately developed "ZEDE" (Zona de Empleo y Desarrollo Económico) on the Caribbean island of Roatán, Honduras, authorized under a 2013 constitutional amendment that allowed semi-autonomous economic zones with their own civil law systems, regulators and near-1% effective income tax. By its own reporting, the zone had grown to roughly 1,700 residents from about 40 countries, more than 200 incorporated companies, around 950 active jobs and over $100 million in accumulated investment.

The project is also a stark cautionary case for the transferability of the 'charter city' model. Honduras's Congress unanimously repealed the ZEDE enabling law in 2022, and in September 2024 the Honduran Supreme Court unanimously declared the underlying constitutional amendment unconstitutional, retroactively undermining Próspera's legal basis. In response, Próspera and affiliated investors filed a claim exceeding $10.7 billion — close to a third of Honduras's annual GDP — against the Honduran state at the World Bank's ICSID arbitration tribunal (Case No. ARB/23/2), a case still active as Honduras contests jurisdiction.
